Job Description
The position provides strategic leadership and oversight for complex and highly sensitive transactions, ensuring that fiduciary, operational, legal, compliance, and reputational risks are appropriately identified and managed. The Trust Default Risk Director partners closely with business leadership, legal counsel, operations partners, and executive management to drive risk-based decision making and effective client outcomes.
This role is expected to lead, develop, and mentor senior default and restructuring professionals while contributing to the overall strategy and risk management framework of the Default organization.
Location Expectations
This role requires working from a U.S. Bank location three (3) or more days per week.
Responsibilities
Risk Leadership
- Provide leadership and oversight for risk-related activities across GSF and CLO default and restructuring portfolios.
- Identify, assess, monitor, and mitigate legal, fiduciary, operational, compliance, financial, and reputational risks impacting complex transactions.
- Lead the escalation, analysis, and resolution of high-impact risk events and sensitive client matters.
- Develop and implement risk management strategies, controls, and governance processes to strengthen operational effectiveness and consistency across portfolios.
- Partner with Legal, Compliance, Enterprise Risk Management, Audit, and senior business leadership on complex and emerging risk issues.
- Evaluate transaction structures, governing agreements, court filings, and restructuring proposals to assess impact on fiduciary obligations and organizational risk.
Default and Restructuring Expertise
- Serve as the organization's senior subject matter expert on distressed transactions, restructurings, insolvencies, bankruptcies, workouts, and enforcement actions.
- Provide strategic guidance to relationship Managers and business leaders managing complex defaulted transactions.
- Lead risk assessments for major restructurings, litigation matters, and distressed portfolio events.
- Participate in creditor negotiations, restructuring discussions, investor communications, and strategic planning sessions as appropriate.
- Drive consistency in the administration of defaulted transactions across business lines.
Leadership and Talent Development
- Lead and develop a team of senior professionals responsible for default administration and risk oversight activities.
- Establish performance expectations and accountability measures aligned with business objectives.
- Coach, mentor, and develop future leaders and subject matter experts within the organization.
- Foster a culture of accountability, collaboration, operational excellence, and prudent risk management.
- Support succession planning and institutional knowledge transfer within the Default organization.
Strategic Initiatives
- Lead cross-functional projects focused on process improvement, risk reduction, governance enhancement, and organizational effectiveness.
- Analyze portfolio trends and emerging industry developments to identify opportunities for proactive risk mitigation.
- Represent the Default organization in executive committees, governance forums, industry events, and strategic initiatives.
- Provide thought leadership regarding market practices, legal developments, restructuring trends, and fiduciary risk considerations.
Regulatory and Compliance Responsibilities
- Maintain a high level of knowledge regarding applicable corporate trust products, regulations, and industry developments.
- Ensure compliance with all U.S. Bancorp policies, procedures, regulatory requirements, and fiduciary obligations.
- Actively support anti-money laundering, information security, suspicious activity monitoring, and risk governance requirements.
- Promote a strong culture of ethics, compliance, and responsible risk management.
Basic Qualifications
- Bachelor's degree or equivalent combination of education and experience.
- Minimum 8 years of experience in corporate trust, structured finance, loan administration, insolvency, restructuring, workout management, or related financial services disciplines.
- Minimum 3+ years management experience
Preferred Skills/Experience
- Juris Doctor (JD), MBA, CFA, CTP, or similar advanced professional designation.
- Deep knowledge of bankruptcy law, restructuring transactions, distressed debt markets, and creditor rights.
- Significant experience administering and managing defaulted transactions, restructurings, bankruptcy proceedings, and distressed asset portfolios.
- Demonstrated experience leading default managers and professional teams.
- Advanced knowledge of Global Structured Finance, Collateralized Loan Obligations, trustee duties, and fiduciary risk management.
- Strong understanding of legal documentation, indentures, pooling and servicing agreements, and transaction governance frameworks.

The salary range reflects figures based on the primary location, which is listed first. The actual range for the role may differ based on the location of the role. In addition to salary, U.S. Bank offers a comprehensive benefits package, including incentive and recognition programs, equity stock purchase 401(k) contribution and pension (all benefits are subject to eligibility requirements). Pay Range: $152,370.00 - 186,230.00
