These Terms of Service (“Terms”) are a binding legal agreement between you and Jobpaq that govern your right to use the websites, applications, and other offerings from Jobpaq (collectively, the “Jobpaq Platform”). When used in these Terms, “Jobpaq,” “we,” “us,” or “our” refers to Belixar LLC with whom you are contracting.
The Platform enables users (“Members”) to publish, search for, and send resumes for job opportunities. Members who publish job opportunities are “Employers” and Members who search for, apply to, or send resumes for job opportunities are “Candidates.” Employers may advertise job vacancies, roles, and hiring opportunities on the Platform (collectively, “Job Postings”). As the provider of the Platform, Jobpaq does not own, control, or manage any Job Postings or any relationships that may result from them. Jobpaq is not a party to any agreement entered into in connection with a Job Posting, nor is Jobpaq a staffing agency, employer of record, or recruiter. Jobpaq is not acting as an agent in any capacity for any Member.
“Content” means any information, materials, or data that a Member submits, posts, or transmits through the Platform, including resumes, Job Postings, messages, and feedback.
You can search for Job Postings using keywords such as job title, company, or location, with autocomplete suggestions to help refine your search as you type. You can save a Job Posting to your favorites to review or apply to it later.
When you apply to a Job Posting, you submit one of your resumes to the Employer. You may withdraw your application at any time before a hiring decision is made, and the Employer may reject your application at any time. If an Employer closes, unpublishes, or fills a Job Posting, any pending application to that posting is no longer actionable, though your application history remains visible in your account. Applying to a Job Posting is free for Candidates and does not create any obligation between you and the Employer beyond what you agree to directly with each other.
Some Job Postings link out to an application process on the Employer's own website or a third-party service instead of accepting applications through the Platform. Jobpaq is not responsible for the content, privacy practices, or application process of any third-party site you visit from a Job Posting.
As an Employer, Jobpaq offers you the right to use the Platform to publish your Job Postings and reach our community of Candidates. You are in control of how you hire: set the requirements, compensation, and hiring process for each Job Posting.
When you accept an application or extend an offer through the Platform, you are entering into a relationship directly with the Candidate and are responsible for conducting your hiring process on the terms described in your Job Posting. Any terms you include in a supplemental offer or agreement with a Candidate must be consistent with these Terms and with the information in your Job Posting.
Your relationship with Jobpaq is that of an independent individual or entity, not an employee, agent, joint venturer, or partner of Jobpaq. Jobpaq does not direct or control your hiring practices, and you have complete discretion over whether and when to hire, and on what terms.
When you publish a Job Posting, you are agreeing to pay all fees associated with publishing it, including the publishing fee described on our Pricing page. Payments are processed by Paddle.com Market Ltd (“Paddle”), our payment provider and the merchant of record for your purchase, and are subject to Paddle's buyer terms.
Publishing a Job Posting does not create any employment, agency, or other relationship between you and Jobpaq, and Jobpaq is not a party to, and assumes no responsibility for, any hiring decision, offer, or employment relationship that may result from your Job Posting. Any such relationship is formed directly and solely between you and the Candidate. By publishing a Job Posting, you represent that you have the authority to hire for the position described and that the posting complies with all applicable laws, including equal employment opportunity and anti-discrimination laws.
The Platform provides tools to create and manage your Job Posting. Your Job Posting must include complete and accurate information about the role, compensation, and any requirements or qualifications that apply to Candidates. You are responsible for keeping your Job Posting information up to date and accurate at all times, including removing or updating a posting once a position has been filled or is no longer available. You may maintain multiple Job Postings if you have multiple open roles.
You are responsible for understanding and complying with all laws, rules, and regulations that apply to your Job Postings and hiring practices, including equal employment opportunity and anti-discrimination laws, wage and hour laws, work authorization requirements, and any licensing or registration requirements that apply to recruiting or staffing activity in your jurisdiction. Information we provide regarding legal requirements is for general informational purposes only and does not constitute legal advice; you should independently confirm your obligations and seek legal advice if you have questions about how local laws apply to your hiring practices.
The ranking of Job Postings in search results depends on a variety of factors, including search parameters (such as job title, location, and keywords), posting characteristics (such as how recently it was published, and user engagement), and search history and preferences.
You are responsible and liable for your own acts and omissions in creating and managing your Job Posting, and for the acts and omissions of anyone you allow to participate in managing it on your behalf.
Members may leave feedback about their experience. While feedback is private to the Member and is not shown to anyone else, it must still comply with our Acceptable Use Policy: it may not contain discriminatory, offensive, defamatory, or other content that violates these Terms or applicable law.
By creating an account or otherwise accessing the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform. You must be at least 18 years old to create an account.
You agree to provide accurate, current, and complete information when creating your account and to keep it up to date. You are responsible for all activity that occurs through your account and must not share your login access or allow anyone else to use your account. If you become aware of any unauthorized access to your account, submit a support ticket immediately.
The agreement between you and Jobpaq reflected by these Terms remains in effect until either you or we terminate it in accordance with these Terms.
You may terminate this agreement at any time by deleting your account. We may terminate this agreement for any reason by providing you 30 days' notice via email or using any other contact information you have provided for your account. We may also terminate this agreement immediately and without prior notice, and stop providing you access to the Platform, if (i) you materially breach these Terms or our Acceptable Use Policy, (ii) you violate applicable laws, (iii) such action is necessary to protect the personal safety or property of Jobpaq, its Members, or third parties (for example, in the case of fraudulent behavior by a Member), or (iv) your account has been inactive for more than two years.
We reserve the right to change our services, including to add or remove features and functionality or change the types of Job Postings we accept or allow on the Platform, in order to improve or update our services, prevent abuse, or respond to legal requirements. If we make material changes that concern core features or functionality of our services, we will provide you with 30 days' advance notice, unless the changes are needed to prevent abuse or respond to legal requirements.
If (i) you breach these Terms or our Acceptable Use Policy, (ii) you violate applicable laws or third-party rights, (iii) you provide Content that is illegal or incompatible with these Terms, (iv) you have repeatedly received complaints about your performance or conduct on the Platform, (v) you have repeatedly failed to respond to applications or manage your Job Postings without a valid reason, or (vi) such action is necessary to protect the personal safety or property of Jobpaq, its Members, or third parties, we may:
In the case of non-material violations, or where otherwise appropriate, we will give you notice of any intended measure and an opportunity to resolve the issue, unless notice would (i) prevent or impede the detection or prevention of fraud or other illegal activity, (ii) harm the legitimate interests of other Members or third parties, or (iii) contravene applicable law. Where required, we will inform you of the measure taken along with the reasons for it.
We may take any action we determine is reasonably necessary to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, including the measures described in Section 8.3 above.
If you are an Employer and terminate your account, any active Job Postings will be automatically unpublished. If you are a Candidate and terminate your account, any pending applications will be automatically withdrawn. When this agreement has been terminated, you are not entitled to a restoration of your account or any of your Content. If your access to or use of the Platform has been limited, your account has been suspended, or this agreement has been terminated by us, you may not register a new account or access or use the Platform through the account of another Member.
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE ANY SPECIFIC EMPLOYMENT OUTCOMES FOR CANDIDATES OR HIRING RESULTS FOR EMPLOYERS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BELIXAR LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET OUT IN THESE TERMS FAILS OF ITS ESSENTIAL PURPOSE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO JOBPAQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree that any claim arising out of or relating to these Terms or the Platform must be filed within one (1) year after the claim arose, or it will be permanently barred, except where a shorter or longer period is required by applicable law.
You agree to indemnify, defend, and hold harmless Belixar LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Platform or your violation of these Terms.
These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict of law provisions.
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@jobpaq.com. We will do the same by contacting the email address on your account. Most disputes can be resolved this way. If a dispute is not resolved within 60 days of the initial notice, either party may proceed as described below.
You and Jobpaq agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (“Dispute”) by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, rather than in court, except as set out in Section 12.3. This agreement to arbitrate is governed by the Federal Arbitration Act. The arbitration will be conducted by a single arbitrator and may be conducted by telephone, videoconference, or based on written submissions, at the choice of the party seeking relief. AAA's rules and forms are available at adr.org. Jobpaq will pay AAA filing, administration, and arbitrator fees for claims under $10,000 unless the arbitrator finds the claim frivolous.
Either party may instead bring an individual claim in small claims court if it qualifies. Nothing in these Terms prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information. For any Dispute not subject to arbitration under this Section 12, the state or federal courts located in King County, Washington have exclusive jurisdiction, and both parties consent to personal jurisdiction in those courts.
YOU AND JOBPAQ AGREE THAT EACH MAY BRING A DISPUTE ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a class, collective, or representative proceeding. If a court decides this Section 12.4 is unenforceable as to a particular Dispute, that Dispute (and only that Dispute) must be brought in court under Section 12.3, and the remainder of this Section 12 remains in effect.
You and Jobpaq waive any right to a jury trial for any Dispute, except for Disputes brought in small claims court.
You may opt out of this Section 12 by emailing legal@jobpaq.com within 30 days of the date you first agree to these Terms, with the subject line “Arbitration Opt-Out” and your name and the email address on your account. If you opt out, neither you nor Jobpaq is bound by this Section 12 for Disputes with the other, and Section 12.3 governs instead.
We may update these Terms from time to time. If you continue to use the Platform after a change takes effect, you agree to the revised Terms. If you do not agree, you must stop using the Platform and may close your account.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Belixar LLC regarding the Platform and supersede all prior agreements.
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
The Jobpaq name, logo, and all Platform software, design, text, and graphics are owned by or licensed to Belixar LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Platform content without our prior written permission.
You retain all ownership rights you have in the Content you submit to the Platform, such as your resume, Job Postings, messages, and feedback. We do not claim ownership of your Content.
By submitting Content, you grant Jobpaq a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, transmit, and distribute that Content solely as necessary to operate and provide the Platform — for example, showing your resume to Employers you apply to, or publicly displaying and indexing your Job Posting, including through search engines, so Candidates can find it on or off the Platform.
This license ends when you delete the Content or close your account, except that it continues to the extent (i) your Content has already been shared with another Member (for example, an application sent to an Employer) for as long as reasonably necessary to complete that exchange, or (ii) retention is needed to comply with legal obligations, resolve disputes, or enforce our agreements. You are responsible for having the necessary rights to the Content you submit and for that Content not infringing any third party's intellectual property or other rights.
Separately from your Content, other material made available through the Platform — such as aggregated listings, Platform-generated text, and formatting — may be protected by copyright, trademark, or other laws. Subject to your compliance with these Terms, Jobpaq grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and view that material solely for your personal and non-commercial use.
Sections 9 (Disclaimers), 10 (Limitation of Liability and Time to File a Claim), 11 (Indemnification), and 12 (Governing Law and Dispute Resolution), along with any other provision that by its nature should survive to give effect to its purpose, remain in effect after your account or these Terms are terminated.
